Below positions will be based in Jakarta, Indonesia.
Position 1 - Country Legal Counsel and Integrity Officer- ID60224853
Job Description: 
As an Officer, you will be responsible for the effective and efficient management of the Legal department, provision of legal advisory services and ensuring effective management of legal and contractual risks. Provide leadership and ensure efficient and effective management of staff and resources in the Legal and Integrity department.
Reporting to Manager, your key areas of responsibility will include, but are not limited to:
1. Legal and Corporate Secretary 
• Structure, draft, negotiate and close commercial transactions, provide legal advice on large scale projects, multi millions USD contracts and related documentation including but not limited to products sales, EPC/turnkey projects, sourcing, licensing, services, consortium, teaming, sub-contracting arrangements, framework agreements.
• Participation to tender / bid review / negotiations.
• Dispense legal advice, always proactively identifying and finding business oriented solutions with the view to maximize the opportunities and minimize the risks.
• Provide management on contractual rights and obligations.
• Create legal forms and best practice. Work with the business teams to develop legal templates and processes for new business and commercial models.
• Review ongoing cases and advice management accordingly.
• Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
• Provide legal protection and risk management advice to management especially on contract management.
• Provide and interpret legal information, provide modules and conduct contract awareness training to commercial people.
• Organizing, preparing agendas, preparing circular resolutions for and taking minutes of Boards meetings and General Meetings of Shareholders (GMS).
• Maintaining statutory books, including registers of shareholders, directors and commissioners.
• Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders.
• Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies.
• Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
2. Policy development
• Review and advise management on legal implications of internal policies and procedures.
• Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.
3. Compliance/Integrity
• Provide regulatory and compliance advice, and be a motivator and energizer for a strong culture of integrity and compliance in the company.
• Ensure business activities are conducted in conformity with all applicable laws, regulations, internal policies and procedures.
• Serve as liaison for local and foreign regulators, legal bodies as well as maintaining relationships with relevant legal bodies and trade associations.
• Continual compliance risk assessment of company practices together with the development of internal policies and procedures, compliance training and protocols.
• Provide training in business-wide compliance policies and procedures, laws and regulations applicable to the business, make sure that 100% of the employees are trained in annual basis.
• Keep abreast of regulatory developments and industry initiatives and advise the management accordingly.
4. Litigation management
• Review progress of outstanding litigation and liaise with and manage external law.
To be considered for this role, you should possess a degree in Law with minimum 10 years of experience preferably with Multi National Corporation in contract administration and contract negotiation. The role will ideally suit someone with strong leadership, managerial and communication skills. You should also have experience in dealing with government and commercial officials, ability to provide independent advice (orally and in writing) to senior level management on highly technical matters, managing and conducting a variety of litigation matters and good planning and organization skills.
